Terms of Service

These Terms are a binding agreement between you and Yinly LLC, a California limited liability company ("Yinly", "we", "us", "our"). They govern your use of getyinly.com, our subscription service, and the Yinly indicator delivered through TradingView (together, the "Service").

By subscribing to or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must also read our Risk Disclosure and Educational-Use Notice, which forms part of these Terms, and our Privacy Policy and Billing and Cancellation Policy.


1. What the Service is

Yinly publishes a technical-analysis indicator that draws visual markers on stock price charts. It is an educational and informational tool. It is not investment advice, and we are not a registered investment adviser. Section 9 and the Risk Disclosure set this out in full, and nothing in these Terms overrides them.

2. Eligibility

You must be at least 18 years old and legally able to enter into a contract. The Service is not directed to children, and we do not knowingly collect information from anyone under 18.

You may not use the Service if you are located in, ordinarily resident in, or acting on behalf of any person in a country or territory subject to comprehensive U.S. sanctions, or if you appear on any U.S. government restricted or denied-party list. By subscribing you represent that none of these apply to you.

3. Your subscription

Subscriptions are billed in advance on a recurring basis through Stripe, our payment processor. Price and billing period are shown at checkout and in your confirmation email.

Your subscription renews automatically at the then-current price until you cancel. You can cancel at any time, yourself: log in to your Yinly account, select Manage billing, and follow the cancellation steps in Stripe's customer portal. If you cannot access your account, email support@getyinly.com and we will cancel for you. Cancellation stops future charges; access continues until the end of the period you have already paid for. Cancelling does not by itself request a refund.

Refunds are governed by the Billing and Cancellation Policy. Membership payments are not refundable, except where the law requires otherwise — the first payment that starts your membership and every renewal alike. We do not offer a money-back guarantee or a refund period. Cancelling before a renewal is how you stop the next charge; it does not refund the period you have already paid for. Confirmed billing errors, including duplicate charges, are corrected separately and are not governed by that rule. Nor are access that is not delivered, or rights your local consumer law gives you and does not let you sign away — those are reviewed on their own facts. See the policy for all of it.

We may change prices. Any change applies from your next billing period, and we will give you at least 30 days' notice by email first. If you do not want the new price, cancel before it takes effect.

4. How access is delivered — and what that depends on

The indicator is delivered as an invite-only script on TradingView. To receive access you must give us your TradingView username, and we grant access to that username manually.

This means two things you should understand before subscribing:

  1. You need your own TradingView account, subject to TradingView's own terms and pricing. That relationship is between you and TradingView. We do not control it and cannot support it.
  2. We depend on TradingView. If TradingView changes its rules, suspends or removes our script, changes its platform, or becomes unavailable, the Service may be interrupted or may end. We will not have caused that and cannot prevent it, though Section 12 describes what happens to your subscription if the Service ends.

Yinly does not supply market data. All price data, charts, and alert delivery come from TradingView.

Markers. The indicator is designed for daily charts. A provisional marker can appear while the current daily candle is still forming, and can disappear before that candle closes. Markers are confirmed at the daily close and do not change once confirmed. The Risk Disclosure describes this in more detail, together with the separate reasons a chart's history can look different over time.

Versions. The indicator implements a fixed set of mechanical rules, and we may revise those rules, their parameters, or their implementation over time — to fix errors, to follow platform changes, or to improve the tool. If we make a material change to how markers are generated, we will notify subscribers by email or release note. A chart always shows the current version applied to the whole price history, so after a change, historical markers may differ from what an earlier version displayed at the time.

5. Licence

Subject to these Terms and your subscription being current, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the indicator for your own personal, non-commercial analysis, for as long as your subscription lasts.

That is the whole of what you get. You do not acquire ownership of anything, and all intellectual property in the indicator, its source code, its rules, the Yinly name and marks, our website, and our content remains ours.

6. What you may not do

You may not:

  • share, resell, sublicense, lend, rent, or transfer your access, or let anyone else use it, including through a shared TradingView account, screen sharing, or a group setup;
  • redistribute, republish, or resell the markers, alerts, or output of the indicator as a signal service, newsletter, group, or feed;
  • copy, reproduce, decompile, reverse-engineer, or attempt to derive the source code, formulas, parameters, or rules of the indicator;
  • create a derivative, clone, or competing indicator from it;
  • misrepresent your identity or provide a TradingView username you do not control;
  • use the Service unlawfully, or to infringe anyone's rights;
  • interfere with, overload, or attempt to gain unauthorised access to our systems, or use automated means to scrape or harvest from them.

Access sharing is the conduct we treat most seriously. Because a single invite-only grant can be used by many people, sharing directly destroys the value of the Service. If we determine on reasonable evidence that you have shared access, we may revoke it and terminate your subscription immediately and without refund, except where the law requires otherwise.

7. Support

We provide support by email at support@getyinly.com on a reasonable-efforts basis.

Support answers questions about how the tool works — installation, access, settings, billing, and what a marker means. Support cannot and will not tell you what to buy or sell, whether to enter or exit a position, how to size a trade, or whether anything is suitable for you. Those are investment recommendations, and we do not give them to anyone. See the Risk Disclosure.

No one is authorized to give investment advice or make performance claims on Yinly's behalf — not support, not an affiliate, not a community moderator, not anyone. If you receive a message that looks like a trade recommendation or a performance claim from someone claiming to represent Yinly, it is unauthorized; do not rely on it, and please report it to support@getyinly.com.

8. Community channels

If we operate a community channel (for example Discord), additional posted rules apply and you must follow them. Anything posted there by other users is their own opinion, not ours, and we do not endorse or verify it. Do not treat anything said in a community channel as advice from Yinly, and do not rely on it. We may remove content or remove you from such a channel at our discretion.

9. No advice — and disclaimer of warranties

The Service is provided "as is" and "as available", with all faults and without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or trade usage.

We specifically do not warrant that:

  • the Service will be uninterrupted, timely, secure, or error-free;
  • markers or alerts will be accurate, complete, delivered, or delivered on time;
  • defects will be corrected; or
  • the Service will produce any particular result, financial or otherwise.

We make no claim about the performance, accuracy, or profitability of the indicator, and you agree you are not relying on any such claim.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

10. Your responsibility, and limitation of liability

You are solely responsible for your trading and investment decisions and for all resulting outcomes, including losses. You accept that risk knowingly when you use the Service.

To the fullest extent permitted by law:

  • We are not liable for any trading or investment loss you incur, whether or not it followed a marker or alert.
  • We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunity, lost data, or business interruption, even if we were advised such damages were possible.
  • Our total aggregate liability arising out of or relating to the Service or these Terms, on any theory, is limited to the amount you actually paid us in the twelve months immediately before the event giving rise to the claim.

These limits apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you, and nothing here limits liability that cannot lawfully be limited — including liability for fraud or fraudulent misrepresentation.

11. Indemnity

You will indemnify and hold harmless Yinly LLC and its member, officers, and agents from any claim, loss, liability, and reasonable legal fees arising from your use of the Service, your breach of these Terms, your violation of law or of anyone's rights, or your trading and investment decisions.

12. Suspension, termination, and what happens then

You may cancel at any time from your Yinly account (Manage billing), as described in Section 3 and the Billing and Cancellation Policy.

We may suspend or terminate your access immediately if you breach these Terms — in particular Section 6 — or if we are required to by law or by TradingView. For breaches involving access sharing, fraud, chargeback abuse, or unlawful use, we may terminate without refund, except where the law requires otherwise.

We may also discontinue the Service as a whole. If we do so for reasons other than your breach, we will give you reasonable notice by email. What is owed for a billing period we would not go on to deliver depends on applicable law and on the circumstances; we do not fix an amount here, and we do not claim we may keep it regardless. See the Billing and Cancellation Policy.

On termination your licence ends, we remove your TradingView access (a manual step on our side, so it is not instant), and Sections 5, 6, 9, 10, 11, 13, and 14 survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.

Talk to us first. Before starting any formal proceeding, send a description of the dispute and what you want to support@getyinly.com. We will try in good faith to resolve it within 30 days. Most issues end here.

If we cannot resolve it, any dispute will be settled by binding individual arbitration administered by JAMS under its consumer rules, seated in Sacramento County, California, or conducted remotely at your election. Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. Disputes will be resolved individually. You and Yinly each waive the right to bring or participate in any class, collective, consolidated, or representative action.

Exceptions. Either party may bring a claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property. Nothing in this section waives any right you may have to seek public injunctive relief in a forum where that right cannot lawfully be waived; if a court finds this arbitration agreement unenforceable as to a claim for public injunctive relief, that claim may proceed in court while all other claims remain in arbitration.

Your right to opt out. You may opt out of arbitration and the class waiver by emailing support@getyinly.com within 30 days of first accepting these Terms, stating your name and that you opt out. Opting out does not affect anything else in these Terms.

Nothing in this section deprives you of any right you have under the mandatory consumer-protection law of your place of residence, or of the right to bring proceedings in your local courts where that law gives it to you.

14. General

Changes. We may update these Terms. If a change is material we will email subscribers and update the date above at least 30 days before it takes effect. Continuing to use the Service after that means you accept the change; if you do not, cancel.

Copyright complaints. If you believe content on our site infringes your copyright, send a notice under the DMCA to Yinly LLC, support@getyinly.com.

Entire agreement; no reliance. These Terms, with the Risk Disclosure, Privacy Policy, and Billing and Cancellation Policy, are the whole agreement between us about the Service. You confirm that in subscribing you have relied only on what these documents say — and in particular that you have not relied on any performance, accuracy, or profitability claim, which we do not make and do not authorize anyone to make.

Severability. If a provision is unenforceable, the rest stays in effect.

No waiver. Not enforcing a provision does not waive it.

Assignment. You may not assign these Terms. We may assign them to a successor in a merger or sale of the business.

Force majeure. We are not liable for failure to perform caused by events beyond our reasonable control, including outages at TradingView, Stripe, or our hosting or data providers.
